Checklist for LLP Incorporation

First Step: Application for Name Reservation

For reservation of name provide minimum 2 names in order of preference. Along with the proposed names, provide the bullet points or main points for the objects of the proposed LLP.

 

Second step: Incorporation of the LLP

For incorporation of the LLP provide the following documents and information:

  1. Signed copy of the Utility bill (Electricity Bill/ Gas Bill / Telephone Bill/ Mobile Bill) not older than 2 months for the registered office proof;
  2. NOC for the use of the property as registered office from the owner.
  3. Proposed Contribution infused by the partners in the LLP;
  4. Phone number and email id for the LLP;
  5. Phone number and email id of the Proposed Partners of the LLP;
  6. Signed copy of ID proof (Voter id card/ Driving License/ Passport) for all the Partners/ Designated partners;
  7. Signed copy of the PAN card of all the designated partners;
  8. Signed copy of the Aadhaar Card of all the Designated partners
  9. Signed copy of the address proof( Electricity bill/bank statement/ mobile bill/ telephone bill) not older than 2 months, of all the Partners/Designated partners;
  10. Following information is required for the designated partners: 
  • Place of Birth
  • occupation
  • education qualification
  • duration of stay at current address
  • Contribution of individual Partner/ Designated partners
  • if the partner is already a partner in any LLP or director in any company, provide the details of the LLP or the Company in which the individual is a director or partner
  • passport size colored photo of the designated partners 
  • DIN of the Designated Partner if the partner is having DIN.
  1. Few documents to be signed including the subscription sheet, interest in other entities etc for incorporation application

Third step: Filing of LLP agreement

The LLP agreement to be drafted after discussion on various matters of rights/duties and other conditions to be incorporated in the LLP agreement.
